Introduction
This Sample Request Agreement ("Agreement") applies to the sample-request services (the “Service”) provided by Eastern Superconducting Technology (Suzhou) Co. ,Ltd. ( collectively, "Eastsuper", "we", "us", and "our") through our websites and related services (the “Service”). “You” refers to any individual using the Service.
This Agreement and the Privacy Policy (see the 【designated page】on our website) constitute the complete terms and conditions for your use of the Service. Please read them carefully. By clicking “I have read and agree to the Sample Request Agreement and Privacy Policy” or any button of equivalent meaning, or by actually using the Service, you enter into a legally binding agreement with us and agree to be bound by this Agreement. If you do not accept this Agreement, please do not use the Service.
1. Definitions
Sample(s): The superconducting material sample we provide based on your "Sample Parameters" filled in the【designated page】, solely for your evaluation, testing, or verification purposes.
Intellectual Property: All rights and interests worldwide, whether filed, registered, recorded, or developed, including but not limited to patents, copyrights, trademarks, trade secrets, know-how, integrated circuit layout designs, plant varieties, geographical indications, goodwill, packaging, trade dress, domain names, data rights, algorithms, AI-generated content, digital assets, virtual property, and all related rights of application, priority, renewal, transfer, licensing, pledge, litigation, defense, and damages, together with all media embodying such rights.
2. Sample Request and Delivery
2.1. Sample Request
1) You must complete and submit the sample request form on the 【designated page】, we may accept or reject the request based on inventory, production schedule, and internal assessment, and reserve the right to adjust or limit the quantity and specifications without providing reasons.
2) You may request up to 20 samples per calendar month.
2.2. Sample Fees
1) The samples themselves are provided free of charge.
2) If the samples involve special compliance requirements such as export control, you must complete the relevant procedures and bear the associated costs.
2.3. Delivery and Shipping Costs
1) If we accept your request, we will ship the samples to the "Shipping address" specified in your "Contact Information" page.
2) For deliveries within Mainland China: default 【delivery method】, shipping costs are borne by us; if you specify delivery method, any excess is borne by you.
3) For deliveries to Hong Kong, Macao, Taiwan, and overseas: default 【delivery method】, shipping costs are borne by us; if you specify delivery method, any excess is borne by you.
3. Purpose and Restrictions
You may use the samples solely for your evaluation/testing/verification purposes in accordance with applicable laws. Without our prior written consent, you shall not, and shall not allow others to:
1) Reverse-engineer, disassemble, copy, imitate, or modify the samples;
2) Use the samples for production, sale, rental, transfer, pledge, or any other commercial or profit-making purposes;
3) Provide the samples to any third party;
4) Use the samples for any purpose unrelated to the stated purpose.
4. Feedback on Evaluation/Testing/Verification
1) You must submit the 【Sample Test Feedback Form】 within 3 calendar months from the date the samples arrive at your designated address ("Receipt Date") via the method we specify (questionnaire, email, or other means). Failure to submit without a valid reason may result in suspension or refusal of future samples or technical support.
5. Intellectual Property
1) All intellectual property in and to the samples and related technical materials are owned exclusively by Eastsuper.
6. Safety and Compliance
1) You shall comply with all applicable laws and regulations, industry standards, and safety requirements, including but not limited to export control regulations. Any losses, liabilities, or penalties arising from unlawful use of samples shall be solely borne by you.
2) You shall ensure that the evaluation, testing, and/or verification of the samples is carried out by personnel with the appropriate qualifications and experience, and that all necessary safety measures are taken.
7. Disclaimer
1）We make no express or implied warranties regarding the suitability of the samples for any particular purpose, non-infringement, or any other matter.
2）Under no circumstances shall we be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages arising out of or in connection with the samples or your use of the samples.
8. Term of Agreement
This Agreement shall take effect on the date you click the “I have read and agree to the Sample Request Agreement and Privacy Policy” button, or any other button with equivalent meaning, or on the date you actually use the Service, whichever occurs first, and shall terminate upon the occurrence of any of the following events:
1) We and you mutually confirm in writing to terminate the Agreement;
2) You breach any provision of this Agreement;
3) 3 calendar months have elapsed from the date on which the sample evaluation/testing/verification feedback is completed or from the Receipt Date of the sample, whichever is earlier.
9. Governing Law and Dispute Resolution
1) The formation, validity, interpretation, performance, enforcement, amendment, and termination of this Agreement shall be governed by the laws of the People’s Republic of China.
2) Any disputes arising from or in connection with the performance of this Agreement shall be resolved through friendly consultation between the Parties. If no settlement can be reached through consultation, the dispute shall be submitted to the court at Eastsuper domicile for adjudication. The judgment rendered shall be binding on both Parties.
10. Language and Governing Text
This Agreement is executed in both Chinese and English. In the event of any inconsistency or conflict between the two versions, the Chinese version shall prevail.
11. Agreement Updates
We may update this Agreement as required by law. When updated, we will notify you by revising the “Last Updated” date at the top, posting the new version, or by any other notice required under applicable law. We recommend reviewing this Agreement each time you use the Service.
